The Carbon Disclosure Project (CDP) results for 2019 have been announced. The CDP acts as a Global benchmark, naming the world’s cities and companies leading on environmental performance.

DOF has scored in a B category: which recognises DOF is at a high level of "Management" and within our score we received a maximum grade of A for the "Governance" category.

The DOF Group has publicly reported environmental performance through the Carbon Disclosure Project (CDP) since 2010. We have consistently ranked in the top 30 per cent, along with other companies judged to have more advanced environmental stewardship. Last year we dropped to a C as new criteria incorporated in CDP reporting mechanisms. DOF responded to these requirements immediately to see us back with a solid B.

The DOF Group’s actions to manage and report our Greenhouse Gas Emissions through the CDP link very closely to our commitment to our relevant United Nations Sustainable Development Goals "17 Goals to transform the world: The Sustainable Development Goals are the blueprint to achieve a better and more sustainable future for all”.

after the Company undertook not to implement the Proposal until certain changes which have been accepted by the Company have been approved by the bondholders in each of DOFSUB07 DOFSUB08 and DOFSUB09. These changes once approved will update and supersede the Proposal. The deferral of the NOK 100 million scheduled instalment that was due under DOFSUB07 today has become effective in accordance with the terms of the Summons. For the DOFSUB07 bond the changes include a 5% PIK Interest and a call option at 100% of the nominal amount at any time (vs the Proposal with increasing call option prices). The DOFSUB07 bond shall be redeemed at 100% at maturity. For the DOFSUB08 bond the maturity date will be extended to January 2025 (vs August 2024 in the Proposal) and for the DOFSUB09 bond the maturity date will be extended to May 2025 (vs. December 2024 in the Proposal). Laco AS has also agreed to convert its indirect holding (through Møgster Mohn Offshore AS) of approx. NOK 60m in nominal value of DOFSUB 07 bonds into shares in DOF ASA and the Company has agreed to cancel its treasury bonds. Further details of the changes are included in the attached schedule. These changes will be implemented through new bondholder meetings in DOFSUB07 DOFSUB08 and DOFSUB09. The Ad-Hoc group of bondholders in DOFSUB07 and major holders of DOFSUB08 and DOFSUB09 bonds have given their pre-approval to these changes which will be formalized through follow-up bondholder meetings in January 2020. with a financial structure that is aligned with the current market. The Company is negotiating with its banks and has a conditional commitment from its largest indirect shareholder Laco AS to either directly or indirectly subscribe for NOK 200 million of new cash equity subject to agreement with banks and bondholders. The new equity is expected to be raised through a rights issue in DOF ASA to be implemented in January 2020 with expected gross proceeds of between NOK 200 million and NOK 500 million. The detailed terms of the rights issue have not yet been determined. DOF ASA will in turn inject new equity in the amount of NOK 200 million in DOF Subsea. The key terms of the discussed new bank facilities are: - All bank facilities in consolidated companies are merged to one new USD 680 million facility with maturity in December 2023. - With the new facility annual amortisations are reduced and this represents a reduction in annual amortisations of 66% average over the first 3 years. - Interest margins largely unchanged - New covenants to fit the current market situation. DOF ASA's Brazilian subsidiary Norskan has been awarded two contracts.

Skandi Paraty (AHTS 21,000 with ROV operated by DOF Subsea Brasil) has been awarded an 1-year contract extension with Petrobras until July 2022.

Skandi Iguaçu is on-hire with Equinor on a spot contract utilisation in July and August, 2021.
