Austevoll, Norway, 6 July 2023: Reference is made to the stock exchange announcement made by DOF Group ASA ("DOF" or the "Company", ticker symbol "DOFG") on 6 July 2023 whereby the Company announced that the increase in the Company's share capital in connection with exercise of greenshoe option had been registered.

DNB Markets, a part of DNB Bank ASA, has today redelivered a total of 1,830,595 ordinary shares to Moco Holding AS, being a close associate of primary insider Mons Svendal Aase (chief executive officer), Energy Investors AS, being a close associate of primary insider Svein Harald Øygard (chairman of the board of directors), Harald Thorstein being a primary insider, Djupedalen AS, being a close associate of primary insider Hilde Drønen (chief financial officer), and ML Kapital AS, being a close associate of primary insider Martin Lundberg (EVP responsible for Finance and Investor Relations), borrowed for the purposes of facilitating delivery in respect of the over-allotments made in connection with the Company's initial public offering of shares.

Austevoll, Norway, 4 July 2023: Reference ismade to the stock exchange announcement made on 4 July 2023 whereby DOF Group ASA ("DOF"or the "Company", OSE tickercode "DOFG") announced the end of stabilisation and exercise of greenshoe option.

Today, 4 July 2023, the Company's board ofdirectors has, based on an authorisation granted to it by the extraordinary general meeting of theCompany held on 25 May 2023,resolved to increase the Company's share capital with NOK 4,576,487.50 by issuance of 1,830,595 new ordinaryshares, each with a nominal value ofNOK 2.50, for a subscription price of NOK 28.00 per share (equal to the offer price in the Company's initial publicoffering of shares (the "IPO")) to DNB Markets, a part of DNB Bank ASA ("DNB") following DNB'sexercise of the greenshoe option grantedby the Company in connection with the IPO. Following registration of the share capital increase withthe Norwegian Register of Business Enterprises (Nw.Foretaksregisteret), the Company's share capital will be NOK 441,623,045, divided into 53,372,566ordinary shares and 123,276,652 B-shares,each with a nominal value of NOK 2.50.

Austevoll, Norway, 4 July 2023: Reference is made to the stock exchange announcement by DOF Group ASA ("DOF" or the "Company", ticker symbol "DOFG") on 22 June 2022 regarding potential stabilisation activities in respect of the ordinary shares in the Company in connection with the successful completion of the initial public offering of ordinary shares in the Company (the "Offering" or the "IPO").

DNB Markets, a part of DNB Bank ASA (the "Stabilisation Manager"), acting as stabilisation manager in connection with the Offering on behalf of the Managers (as defined below), hereby gives notice that the stabilisation period which commenced on 22 June 2023, has ended as of today, 4 July 2023 and that no stabilisation was undertaken in relation to the shares in the Company. In order to permit redelivery of the 1,830,595 ordinary shares in the Company, which were borrowed from Moco Holding AS, Energy Investors AS, Harald Thorstein, Djupedalen AS and ML Kapital AS and over-allotted in the Offering, the Stabilisation Manager, on behalf of the Managers, has exercised the greenshoe option granted by the Company to subscribe for new ordinary shares in the Company. In total 1,830,595 ordinary new shares in the Company will be subscribed for and issued by the Company under the greenshoe option at a price of NOK 28.00 per share, equal to the offer price in the Offering. After the issuance of the new shares, the number of shares outstanding in the Company will be 53,372,566 ordinary shares and 123,276,652 B-shares, each with a par value of NOK 2.50.

DOF Subsea is pleased to announce the award of a long-term contract to provide a Multi-Purpose Supply Vessel (MPSV) to Esso Australia Pty Ltd. DOF Subsea Australia Pty Ltd, a subsidiary of DOF Subsea AS, has signed a three -year firm plus 2 x 1 year options contract to provide an MPSV to Esso Australia Pty Ltd. Preparatory support services associated with the contract are underway with delivery of the vessel to follow later in 2022. Mons S. DOF Subsea Awarded Esso Australia Contract

Reference is made to our previous announcement on 30 November 2021 regarding the extension of standstill arrangements with the group's secured lenders expiring 31 January 2022 and extension of standstill arrangements with bondholders in DOF Subsea AS' bond issues also expiring 31 January 2022. DOF ASA and DOF Subsea AS are pleased to announce that each of the companies have agreed to further extend the principal and interest suspension agreements with, or received extensions of similar concessions from, secured lenders representing in total 91% of the secured debt of DOF ASA and DOF Rederi AS and in total 95% of the secured debt of companies within the DOF Subsea AS group (excluding DOF Subsea Brasil Servicos Ltda.) until 28 February 2022, and that DOF Subsea AS has received confirmation from the ad hoc group of bondholders that they have agreed to further extend the suspension, deferral and standstill agreement currently in place for the bond issues to 28 February 2022 in accordance with the resolutions of the bondholders' meeting held 30 September 2021. The extensions of the standstill periods will facilitate the DOF group's continued dialogue with its secured lenders and the bondholders under the DOF group's bonds regarding a long-term financial restructuring of the DOF group. DOF Subsea Australia is pleased to announce it has been awarded Beach Energy's Otway Offshore Phase 5 - Transport and Installation Project. After collecting all permanent equipment from vendors and transportation to the offshore site, the campaign execution will cover installation of the subsea infrastructure for four (4) new Thylacine wells. This will include installation of subsea umbilicals, flexibles flowlines and connectors, structures and rigid spools. The contract scope includes Project Management, Engineering, Fabrication, Transportation and Installation Services and is expected to be completed in Q1 2023. Beach Energy award DOF Subsea Otway Offshore Phase 5 Project contract

Reference is made to previous announcement on 29 October 2021 regarding the extension of standstill arrangements with the group's secured lenders expiring 30 November 2021 and extension of standstill arrangements with bondholders in DOF Subsea AS' bond issues also expiring 30 November 2021. The Group's revenue for 3rd quarter (management reporting) totals NOK 2,052 million (NOK 2,027 million) and EBITDA totals NOK 865 million (NOK 879 million). Including in EBITDA is gain on sale of vessels of NOK 44 million (NOK 12 million). The operating profit (EBIT) is NOK 488 million (NOK -46 million), of which depreciation and impairment totals NOK 377 million (NOK 925 million). Net profit is NOK -128 million (NOK - 406 million).
